Intercontinental Exchange Announces Bakkt to Become a Publicly Traded Company via Merger with VPC Impact Acquisition Holdings
Intercontinental Exchange (NYSE: ICE) announced Bakkt Holdings' merger with VPC Impact Acquisition Holdings (NASDAQ: VIH), valuing the combined entity at approximately $2.1 billion. The deal includes a cash contribution of up to $207 million from VIH's trust and a $325 million private placement, with ICE committing $50 million. Upon completion, ICE will hold about 65% economic interest in Bakkt Holdings, expected to launch by Q2 2021. Bakkt's estimated Q1 2021 revenue is $7 million against a $25 million operating expense.
- The merger positions Bakkt to access significant capital with a total of over $500 million cash expected post-combination.
- ICE's commitment of $50 million indicates strong confidence in Bakkt's growth potential.
- ICE will maintain a significant economic interest (65%) in Bakkt, allowing for potential future revenue growth.
- Bakkt's projected operating expenses significantly exceed its revenues, indicating potential financial strain.
- The transition to an equity method investment may lead to a lack of consolidation in ICE's financials, which may obscure the performance of Bakkt.
