ATLANTA--(BUSINESS WIRE)-- Crawford & Company® (NYSE: CRD-A and CRD-B), the world’s largest publicly listed independent provider of claims management and outsourcing solutions to carriers, brokers and corporations, today announced its financial results for the first quarter ended March 31, 2022.

The Company’s two classes of stock are substantially identical, except with respect to voting rights and the Company’s ability to pay greater cash dividends on the non-voting Class A Common Stock (CRD-A) than on the voting Class B Common Stock (CRD-B), subject to certain limitations. In addition, with respect to mergers or similar transactions, holders of CRD-A must receive the same type and amount of consideration as holders of CRD-B, unless different consideration is approved by the holders of 75% of CRD-A, voting as a class.

GAAP Consolidated Results

First Quarter 2022

Segment Results for the First Quarter

North America Loss Adjusting

North America Loss Adjusting revenues before reimbursements were $64.4 million in the first quarter of 2022, increasing 14.5% from $56.3 million in the first quarter of 2021, including $3.6 million from the edjuster, Inc. acquisition.

The segment had operating earnings of $4.1 million in the 2022 first quarter decreasing from $4.4 million in the first quarter of 2021. The operating margin was 6.4% in the 2022 quarter and 7.7% in the 2021 quarter.

International Operations

International Operations revenues before reimbursements were $89.3 million in the first quarter of 2022, up 3.2% from $86.5 million in the same period of 2021, including $1.0 million from the BosBoon acquisition. Absent foreign exchange rate decreases of $2.8 million, revenues would have been $92.1 million for the 2022 first quarter.

Operating losses were $(3.1) million in the 2022 first quarter, increasing from losses of $(0.7) million in the 2021 period. The segment’s operating margin for the 2022 quarter was (3.4)% as compared with (0.8)% in the 2021 quarter.

Broadspire

Broadspire segment revenues before reimbursements were $76.5 million in the 2022 first quarter, increasing 2.9% from $74.3 million in the 2021 first quarter.

Broadspire recorded operating earnings of $6.4 million in the first quarter of 2022, representing an operating margin of 8.4%, decreasing from $6.7 million, or 9.1% of revenues, in the 2021 first quarter.

Platform Solutions

Platform Solution revenues before reimbursements were $48.9 million in the first quarter of 2022, up 35.2% from $36.1 million in the same period of 2021, including $6.1 million from the Praxis Consulting acquisition.

Operating earnings were $8.0 million in the 2022 first quarter, doubling over $4.0 million from the 2021 period. The segment’s operating margin for the 2022 quarter was 16.5% as compared with 11.1% in the 2021 quarter.

Unallocated Corporate and Shared Costs and Credits, Net

Unallocated corporate costs were $2.5 million in the first quarter of 2022, compared with $1.4 million in the same period of 2021. Primary components of this variance was a $1.0 million Canada Emergency Wage Subsidy ("CEWS") benefit in 2021, not present in 2022, a $1.0 million increase in unallocated payroll taxes and benefits expense, and a $0.9 million increase in self-insurance and other unallocated costs, partially offset by a $1.8 million gain on the sale of our Canadian head office building in Kitchener, Ontario.

Other Matters

For the 2022 first quarter, the Company recognized no benefit from CEWS as compared with an overall benefit of $1.9 million in the 2021 first quarter. Also in the 2022 first quarter, the Company recognized a $1.8 million gain on the sale of our Canadian head office building in Kitchener, Ontario.

In addition, the Company recognized a pretax contingent earnout expense totaling $2.1 million in the 2022 first quarter related to the fair value adjustment of earnout liabilities arising from recent acquisitions. This adjustment, which is not a component of operating earnings, is based on favorable changes to projections of acquired entities over the respective earnout periods, which span multiple years.

Subsequent Events

On April 1, 2022, the Company purchased assets associated with R.P. van Dijk B.V., a bodily injury loss adjusting company based in the Netherlands. The purchase price includes an initial cash consideration of $4.4 million and a maximum of $2.2 million payable over the next two years based on achieving certain revenue targets, as defined in the purchase agreement.

Balance Sheet and Cash Flow

The Company’s consolidated cash and cash equivalents position as of March 31, 2022, totaled $49.2 million, compared with $53.2 million at December 31, 2021. The Company’s total debt outstanding as of March 31, 2022, totaled $232.6 million, compared with $175.0 million at December 31, 2021.

The Company’s operations used $15.3 million of cash during 2022, compared with $1.6 million provided in 2021. The decrease in cash provided by operating activities was primarily due to increased incentive compensation payments of $6.4 million in 2022 compared to 2021, $4.9 million of prior year benefits received related to CEWS and other related COVID programs that were not present in 2022, and timing of U.S. payroll taxes and other prepaids.

The Company made no contributions to its U.S. defined benefit pension plan and $0.2 million to its U.K. plans for each of the three months ended March 31, 2022 and 2021.

During 2022, the Company repurchased 1,498,084 shares of CRD-A and 719,874 shares of CRD-B at an average per share cost of $7.23 and $7.31, respectively. The total cost of share repurchases during 2022 was $16.1 million.

Non-GAAP Presentation

In the normal course of business, our operating segments incur certain out-of-pocket expenses that are thereafter reimbursed by our clients. Under U.S. generally accepted accounting principles (“GAAP”), these out-of-pocket expenses and associated reimbursements are required to be included when reporting expenses and revenues, respectively, in our consolidated results of operations. In the foregoing discussion and analysis of segment results of operations, we do not include a gross up of segment expenses and revenues for these pass-through reimbursed expenses. The amounts of reimbursed expenses and related revenues offset each other in our results of operations with no impact to our net income or operating earnings. A reconciliation of revenues before reimbursements to consolidated revenues determined in accordance with GAAP is self-evident from the face of the accompanying unaudited condensed consolidated statements of operations.

Operating earnings is the primary financial performance measure used by our senior management and chief operating decision maker (“CODM”) to evaluate the financial performance of our Company and operating segments, and make resource allocation and certain compensation decisions. Unlike net income, segment operating earnings is not a standard performance measure found in GAAP. We believe this measure is useful to others in that it allows them to evaluate segment and consolidated operating performance using the same criteria used by our senior management and CODM. Consolidated operating earnings represent segment earnings including certain unallocated corporate and shared costs, but before net corporate interest expense, stock option expense, amortization of customer-relationship intangible assets, contingent earnout adjustments, income taxes and net income or loss attributable to noncontrolling interests.

Adjusted EBITDA is not a term defined by GAAP and as a result our measure of adjusted EBITDA might not be comparable to similarly titled measures used by other companies. However, adjusted EBITDA is used by management to evaluate, assess and benchmark our operational results. The Company believes that adjusted EBITDA is relevant and useful information widely used by analysts, investors and other interested parties. Adjusted EBITDA is defined as net income attributable to shareholders of the Company with recurring adjustments for depreciation and amortization, net corporate interest expense, contingent earnout adjustments, income taxes and stock-based compensation expense.

Unallocated corporate and shared costs and credits include expenses and credits related to our chief executive officer and Board of Directors, certain provisions for bad debt allowances or subsequent recoveries such as those related to bankrupt clients, defined benefit pension costs or credits for our frozen U.S. pension plan, certain unallocated professional fees and certain self-insurance costs and recoveries that are not allocated to our individual operating segments.

Income taxes, net corporate interest expense, stock option expense, amortization of customer-relationship intangible assets and contingent earnout adjustments are recurring components of our net income, but they are not considered part of our segment operating earnings because they are managed on a corporate-wide basis. Income taxes are calculated for the Company on a consolidated basis based on statutory rates in effect in the various jurisdictions in which we provide services and vary significantly by jurisdiction. Net corporate interest expense results from capital structure decisions made by senior management and the Board of Directors, affecting the Company as a whole. Stock option expense represents the non-cash costs generally related to stock options and employee stock purchase plan expenses which are not allocated to our operating segments. Amortization expense is a non-cash expense for finite-lived customer-relationship and trade name intangible assets acquired in business combinations. Contingent earnout adjustments relate to changes in the fair value of earnouts associated with our recent acquisitions. None of these costs relate directly to the performance of our services or operating activities and, therefore, are excluded from segment operating earnings to better assess the results of each segment's operating activities on a consistent basis.
