Rhea-AI Filing Summary

ZenaTech, Inc. reports multiple strategic moves across its drone and Drone as a Service businesses. The company signed a binding agreement to acquire a 35‑year‑old Australian land surveying and spatial services firm and an offer to acquire an Alberta-based geospatial surveying company focused on oil and gas, where drone inspection services are cited as a roughly USD 2.3 billion market growing at about 28.5% annually. These deals would expand ZenaTech’s DaaS footprint into Australia and Western Canada and build on what it describes as its 22nd DaaS acquisition and a network of 25 international locations. ZenaTech is also developing defense capabilities, including a new Phoenix Aero LLC facility in Lviv, Ukraine targeting Gulf state demand for counter‑UAS systems, and advancing its gas‑powered ZenaDrone 2000 interceptor toward initial flight testing planned for the end of Q3 2026, with a maximum takeoff weight of 200 kg, payload of 40 kg, and over 4 hours hover endurance. In parallel, three drones—the ZenaDrone 1000, IQ Square, and IQ Nano—have progressed to the cybersecurity phase of the U.S. Department of Defense Blue UAS certification pathway, a step the company says positions these platforms for potential inclusion on U.S. government and defense procurement lists.

Insights

ZenaTech outlines parallel expansion in DaaS infrastructure and defense-grade drone platforms.

ZenaTech describes a dual-track strategy: acquisition-led growth in Drone as a Service and internal R&D for counter‑UAS and autonomous systems. The Australian and Alberta surveying targets would deepen exposure to infrastructure and oil and gas customers already using drone workflows.

On the defense side, management highlights Phoenix Aero in Western Ukraine for counter‑UAS production targeting Gulf Cooperation Council buyers and a ZenaDrone 2000 interceptor aimed at an analyst-estimated $20 billion counter‑drone market by 2030. Progress of three platforms into the Blue UAS cybersecurity phase, if completed, could enable direct U.S. government procurement access.

These initiatives rely on regulatory approvals, successful deal closings, and technical milestones such as Q3 2026 flight tests and Blue UAS certification. Actual commercial outcomes will depend on execution, export controls, defense procurement decisions, and the pace of adoption in infrastructure and energy drone services markets.

Counter-drone market size $20 billion Analyst projection for counter-UAS market by 2030
Oil & gas drone inspection market USD 2.3 billion Global oil and gas drone inspection services market value
Oil & gas drone inspection CAGR 28.5% Estimated compound annual growth rate for oil and gas drone inspection
ZenaDrone 2000 max takeoff weight 200 kg Key specification for interceptor drone
ZenaDrone 2000 payload capacity 40 kg Payload specification for interceptor drone
ZenaDrone 2000 hover endurance 4+ hours Endurance specification for interceptor drone
DaaS acquisitions count 22 acquisitions Company-stated tally of Drone as a Service acquisitions
Drone usage in Alberta target 80% of projects Share of target’s projects using drone-based workflows
Drone as a Service (DaaS) financial
"ZenaTech’s Drone as a Service platform is designed to provide business and government clients"
Drone as a Service (DaaS) is a business model where companies provide drone hardware, software, pilots, maintenance and the data those drones collect on a subscription or pay-per-use basis, so customers can get aerial capabilities without buying and operating drones themselves; think of it like renting a car or using a cloud service for flight and data. Investors care because DaaS can create predictable, recurring revenue and rapid customer scale while reducing capital needs for clients, but it also brings regulatory, safety and technology adoption risks that affect profitability and growth.
counter-UAS technical
"Phoenix Aero LLC is expected to serve as a manufacturing and export base for counter-UAS and interceptor drone systems"
Counter-UAS (counter-unmanned aircraft systems) are tools and tactics used to detect, track, and disable or divert drones that pose a threat to people, property, or operations. Think of them as a combination of a security camera, alarm system, and net that can find an unwanted flying device and stop it before it causes harm. Investors care because demand, regulation, and deployment of these systems affect revenue, contract opportunities, legal risk, and the valuation of companies that build or use them.
Blue UAS certification pathway regulatory
"three of its ZenaDrone subsidiary’s defense platforms have advanced to the cybersecurity phase of the U.S. Department of Defense’s Blue UAS certification pathway"
Green-to-Blue framework regulatory
"The three platforms are being evaluated together under the recently streamlined Green-to-Blue framework administered by the Association for Uncrewed Vehicle Systems International"
National Defense Authorization Act (NDAA) compliance regulatory
"Blue UAS certification establishes National Defense Authorization Act (NDAA) compliance and clears a vendor for direct procurement"
VTOL (Vertical Takeoff and Landing) technical
"The ZenaDrone 1000, a medium-sized VTOL (Vertical Takeoff and Landing) rugged construction drone"

The three platforms are being evaluated together under the recently streamlined Green-to-Blue framework administered by the Association for Uncrewed Vehicle Systems International (AUVSI). Blue UAS certification establishes National Defense Authorization Act (NDAA) compliance and clears a vendor for direct procurement by U.S. defense agencies, federal departments, and allied government buyers.

“Blue UAS certification unlocks direct access to the U.S. defense agency market, a high-growth, NDAA-compliant opportunity we are positioning to capture,” said Shaun Passley, Ph.D., CEO of ZenaTech. “Demand for secure autonomous systems is accelerating across intelligence, surveillance, reconnaissance, logistics, and asymmetric warfare, and our progress through cybersecurity, manufacturing, and supply chain readiness reflects disciplined execution. We are on the final stretch toward certification and look forward to delivering scalable, mission-critical drone solutions to government and defense customers.”

ZenaDrone’s submissions have completed phases one and two of the AUVSI-administered pathway, including application onboarding and submission of the consolidated hardware bill of materials (HBOM) and NDAA supply-chain compliance documentation across all three platforms. The drones are now advancing to phase three —cybersecurity validation—where third-party penetration testing will assess system resilience, encryption integrity, and operational security under simulated adversarial conditions. Final Blue UAS status remains subject to successful completion of the remaining certification phases and the Defense Contract Management Agency (DCMA) review.

The Blue UAS pathway has shifted materially since ZenaTech filed its initial Green UAS applications last year to the benefit of “made in America” drone manufacturers and the advancement of innovation. Under the updated Green-to-Blue framework, the Department of Defense now leverages third-party assessors and the Green UAS process — including AUVSI-led evaluations — to perform much of the cybersecurity, supply-chain, and NDAA compliance validation earlier in the pipeline. While the DoD retains ultimate authority over Blue UAS status and defense procurement access, the path leading to certification has become more distributed, scalable, and faster for domestic manufacturers.

ZenaDrone’s multi-function AI drone systems currently in this certification process include:

·The ZenaDrone 1000, a medium-sized VTOL (Vertical Takeoff and Landing) rugged construction drone capable of lifting ~40 kg, with AI-enabled autonomy, and secure communications via its proprietary Drone Net system. Designed for inspection, surveillance, and reconnaissance (ISR) applications, critical cargo applications, and border patrol via a gas version currently under development, being designed for longer flights. It has undergone paid trials with both the U.S. Air Force and Navy Reserve for applications, including critical cargo delivery such as temperature-controlled medical supplies.

·The IQ Nano, a compact indoor drone (starting size 20″×20″), built to operate in GPS-denied environments such as warehouses or military facilities for inventory management via barcode scanning and security applications, features obstacle avoidance and AI-driven drone swarms or fleets.

·The IQ Square, a VTOL drone (starting size 40” X40”) engineered for line-of-sight surveys, infrastructure inspections, road and bridge inspections, and defense reconnaissance tasks.
