Insights

Copel combines a sizable 2026 cash distribution with routine disclosure.

Copel’s Board approved R$706,000,000.00 in Interest on Equity based on retained earnings, with payment on September 30, 2026. In Brazil, this mechanism is a tax-efficient way to return capital and will be credited against the mandatory dividend for the 2026 fiscal year.

The record date is April 29, 2026, and shares trade ex-dividend from April 30, 2026, giving clear cutoffs for entitlement. Separately, approval of the Form 20-F for fiscal 2025 is a standard governance step, confirming that financial statements and risk disclosures reviewed by management and the Statutory Audit Committee are ready for SEC filing.

Interest on Equity financial
"proposal for distribution of earnings in the form of Interest on Equity in the gross amount of R$706,000,000.00"
A payment a company makes to its shareholders that compensates them for the capital they provided, similar to how a lender receives interest on a loan. In some accounting or tax systems this payment is treated like interest rather than a regular dividend, which can change a company’s reported profit, cash flow and the taxable income of investors; that treatment affects shareholder returns and valuation.
retained earnings financial
"in the gross amount of R$706,000,000.00 ... based on the Retained Earnings account"
Retained earnings are the cumulative portion of a company's profits that management keeps instead of distributing to shareholders as dividends; they appear on the balance sheet as part of owners’ value. For investors, retained earnings matter because they act like a company’s savings account—funding growth, paying down debt, or supporting future dividends—and their size and changes reveal how profitable the business has been and how management chooses to use those profits.
record date financial
"to be credited to shareholders holding shares as of April 29, 2026 (record date)"
The record date is the specific day when a company determines which shareholders are eligible to receive a dividend or participate in an upcoming vote. It’s like a cutoff date; if you own the stock on that day, you get the benefits or voting rights. This date matters because it decides who qualifies for certain company benefits.
ex-dividend financial
"as of April 30, 2026, inclusive, the Company’s common shares will be traded “ex-dividend.”"
Ex-dividend describes a stock trading without the right to receive the next scheduled dividend payment; if you buy the share on or after the ex-dividend date, the upcoming payout goes to the seller instead of you. It matters to investors because the stock price typically adjusts to reflect that lost payout, so understanding the ex-dividend date helps decide whether a trade will capture the dividend and can affect short-term price moves and tax or income strategies.
Form 20-F regulatory
"presented Form 20-F to be filed with the Securities and Exchange Commission - SEC"
Form 20-F is the standardized annual disclosure that non-U.S. companies must file with the U.S. securities regulator when their shares are traded in the U.S.; it contains audited financial statements, a plain-language description of the business, management discussion, governance details and key risk factors. It matters to investors because it provides a consistent, comparable company “report card” and rulebook, helping buyers assess financial health, governance and risks before investing.
forward-looking statements regulatory
"This press release may contain forward-looking statements."
Forward-looking statements are predictions or plans that companies share about what they expect to happen in the future, like estimating sales or profits. They matter because they help investors understand a company's outlook, but since they are based on guesses and assumptions, they can sometimes be wrong.

FAQ

When is the record date and ex-dividend date for Copel’s R$706 million Interest on Equity?

Shareholders holding Copel shares as of April 29, 2026 are entitled to the Interest on Equity. From April 30, 2026 onward, the company’s common shares will trade ex-dividend, meaning new buyers after that date will not receive this distribution.

When will Copel pay the approved R$706,000,000.00 Interest on Equity?

Copel set September 30, 2026 as the payment date for the approved R$706,000,000.00 Interest on Equity. The amounts, net of withholding taxes, will be paid to shareholders of record on April 29, 2026 and counted toward the 2026 mandatory dividend.

How does the Interest on Equity distribution affect Copel’s 2026 mandatory dividend?

The Interest on Equity, net of withholding taxes, will be allocated to Copel’s mandatory dividend for the 2026 fiscal year. This means the R$706 million gross amount effectively fulfills part of the minimum dividend requirement established in the company’s bylaws.

What is included in Copel’s Form 20-F for fiscal year 2025?

Copel’s Form 20-F for 2025 contains accounting information already approved by the Executive Board and Board of Directors, along with details on risk factors, the company, the electric power sector model, management, dividend distribution, internal controls, and other shareholder information.

Did Copel’s audit bodies review the 2025 Form 20-F before approval?

Yes. Members of the Statutory Audit Committee stated they analyzed the 2025 Form 20-F at their 326th meeting on April 14, 2026. They recommended approval, and the Board of Directors then unanimously approved the report for filing with the SEC.
