Insights

Proposal is non-binding; regulatory and shareholder approvals are central.

The proposal sets a $125 per-share offer and is explicitly non-binding pending negotiation of a definitive agreement. Closing risk centers on required approvals, including the Hart-Scott-Rodino HSR Act clearance and potential foreign or sector-specific reviews.

Timing and structure depend on definitive terms and financing; future proxy statements and registrations will disclose participants' interests and transaction mechanics.

Economic exposure is large via options; cash/share mix and financing will drive valuation impact.

GameStop reports direct ownership of 25,000 shares and long-side Put/Call Pairs giving exposure to 33,497,000 shares through February 23, 2028. These instruments are currently cash-settleable until the HSR Act Condition is met.

The final economic effect will depend on the agreed cash vs. stock consideration, financing terms, and whether option settlements convert to share delivery after regulatory clearance.

"delivered to the board of directors of eBay a non-binding proposal to acquire"
A non-binding proposal is an offer or plan presented by one party that outlines terms they would like to pursue but does not create a legally enforceable obligation. Think of it like a detailed handshake or a draft invitation to negotiate: it signals intent and frames possible outcomes, but either side can walk away or change terms without legal penalty. Investors watch these because they can move a stock’s price by suggesting a possible deal, yet they carry higher uncertainty than formal agreements.
