Item 5.02. Departure
of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On March 12, 2026, Brad Truesdell, Executive Vice President and Chief
Operating Officer of AeroVironment Inc. (the “Company”), notified the Company of his intention to retire from his employment
with the Company effective upon the appointment of his successor. It is expected the Mr. Truesdell will continue in his role, serving
as the Company’s principal operating officer, until such time as his successor is in place and responsibilities have been transitioned.
The Company is currently conducting a search for a new principal operating officer. After the cessation of his employment with the Company,
Mr. Truesdell is expected to serve as a consultant to the Company to continue to provide transition and other services as directed by
the Company’s Chief Executive Officer and successor principal operating officer.
