QUINCY, Ill., April 9, 2021 /PRNewswire/ -- Titan International, Inc. (NYSE: TWI) ("Titan" or the "Company") today announced that it priced its previously announced offering of $400 million U.S. dollars aggregate principal amount of its Senior Secured Notes due 2028 (the "2028 Notes"). The 2028 Notes will be sold at an offering price of 100% and will bear interest at a rate of 7.00% per annum. The 2028 Notes are being offered only to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and outside the United States in compliance with Regulation S under the Securities Act.

Titan intends to use the net proceeds from the offering and cash on hand to redeem all of the Company's 6.50% Senior Secured Notes due 2023 (the "2023 Notes"), including all call premiums, accrued interest, costs and expenses associated therewith.  The 2023 Notes were called for redemption on April 7, 2021 in accordance with the applicable provisions of the indenture governing the 2023 Notes.  The call is conditional upon the closing of the 2028 Notes.  The 2023 Notes will be redeemed on May 7, 2021, assuming satisfaction of the conditions set forth above.
