POET Completes Acquisition of Super Photonics Xiamen
POET Technologies has completed its acquisition of Super Photonics Xiamen (SPX), gaining 100% ownership by purchasing the remaining 24.8% equity from Sanan for US$6.5 million, payable over 5 years starting October 31, 2025. The deal includes an option for Sanan to convert payments into POET common shares. Additionally, POET acquired SPX's production equipment for US$3.8 million, payable in four quarterly installments.
The acquisition strengthens POET's 'China Plus One' strategy and complements its recent manufacturing agreement with Globetronics in Malaysia. The combined facilities will have capacity exceeding one million optical engines annually for 800G and higher speed transceivers needed in AI clusters. POET will maintain SPX's assembly operations in Sanan's cleanrooms while considering future location options.

Insights
POET Technologies' acquisition of Super Photonics Xiamen (SPX) represents a strategic consolidation that strengthens their position in the AI optical interconnect market. The
The transaction's structure is particularly advantageous - the deferred payment schedule preserves working capital, while the equity conversion option provides flexibility in capital structure. The combined manufacturing capacity with Globetronics exceeding 1 million optical engines annually positions POET to capture significant market share in the rapidly growing AI infrastructure segment.
The consolidation will improve financial reporting transparency through full SPX integration and enables operational synergies with their existing Shenzhen WOFE. This 'China Plus One' strategy with facilities in both China and Malaysia reduces geopolitical risks and strengthens the supply chain.
This acquisition is strategically timed to address the surging demand for high-speed optical engines in AI networks. The focus on 800G and higher speed transceivers aligns perfectly with the exponential growth in AI computing clusters, where data transfer speeds are critical bottlenecks. The full control of SPX's operations enables POET to optimize production processes and respond more rapidly to market demands.
The dual-location manufacturing strategy between China and Malaysia is particularly shrewd, offering both proximity to key Asian markets and risk mitigation. The cleanroom infrastructure inheritance from SAIC provides immediate operational continuity while maintaining flexibility for future facility decisions.
