Analysis

The stock dropped -22.5% in the session following this news. A negative reaction despite the sizeable LOI would fit a recent pattern where strategic announcements, including the Georgia facility build‑out and awards, coincided with weak price action. The LOI is explicitly non‑binding, so investors may have focused on execution and financing risks rather than the headline $200 million potential and 1.1 GWh pipeline. Past earnings showed widening losses alongside growth, which could also frame cautious interpretations of new scale‑up commitments.

Recent Company History

Over the last few months, NeoVolta has focused on scaling its Georgia battery manufacturing platform and strengthening leadership. On April 21, 2026 it raised its NeoVolta Power stake to 80% with no new cash outlay, then on May 14, 2026 reported Q3 FY2026 revenue of $2.0 million and nine‑month revenue of $13.3 million, alongside a wider net loss. Despite positive developments like a 2026 Energy Storage Company of the Year award and a new CFO, shares often reacted negatively, setting the backdrop for today’s utility‑scale LOI tied to the same Georgia facility.

5 terms
letter of intent financial
"NeoVolta has entered into a Letter of Intent ("LOI") with Infinite Grid Capital"
A letter of intent is a document that shows an agreement in principle between parties to work towards a future deal or transaction. It outlines their intentions and key terms, acting like a roadmap before a formal contract is signed. For investors, it signals serious interest and helps clarify expectations early in the process.
bess technical
"LOI for Approximately 1.1 GWh of Utility-Scale BESS Deployments Marks Commercial Inflection"
BESS stands for Battery Energy Storage System, a technology that stores electricity for later use. Think of it as a large rechargeable battery that can hold excess power generated during times of low demand and release it when usage is high, helping balance supply and demand. This is important for investors because it supports the stability of energy grids, enables the integration of renewable sources, and can create new opportunities for profitability in the energy market.
battery energy storage technical
"strategic procurement of utility-scale battery energy storage products manufactured"
A system that stores electrical energy in rechargeable batteries so power can be used later, like a large-scale rechargeable power bank for homes, businesses, or the electricity grid. It matters to investors because it helps smooth out supply and demand, lets operators sell power when prices are higher, backs up critical services during outages, and supports more renewable generation — all of which can create new revenue streams and reduce operational risk.
utility-scale technical
"three initial utility-scale project opportunities totaling approximately 1.1 GWh"
Large-scale infrastructure, usually for electricity generation or storage, built to supply power to the public grid rather than to a single home or small business. Think of it as a factory-sized plant versus a backyard installation: it requires much more capital, land and permitting but can sell large volumes of power under long-term contracts, so investors care because it offers predictable, utility-level revenue streams, different risk profiles and regulatory exposure compared with small projects.
pjm technical
"approximately 300 MWh across multiple projects in PJM territory"
PJM is the large regional operator that coordinates the flow of electricity and runs the wholesale power markets across parts of the eastern and midwestern United States. Think of it as an air-traffic controller for electricity: it balances supply and demand in real time, schedules power plants and transmission, and sets market-clearing prices — all of which affect utility revenues, fuel costs, project economics and investor returns in energy and infrastructure sectors.

LOI for Approximately 1.1 GWh of Utility-Scale BESS Deployments Marks Commercial Inflection for Georgia Manufacturing Facility Ahead of Q3 2026 Production Ramp

SAN DIEGO, May 28, 2026 (GLOBE NEWSWIRE) -- NeoVolta Inc. (NASDAQ: NEOV) (“NeoVolta” or the “Company”), a U.S.-based energy technology company delivering scalable energy storage solutions, today announced that NeoVolta has entered into a Letter of Intent ("LOI") with Infinite Grid Capital ("IGC") for the strategic procurement of utility-scale battery energy storage products manufactured at its Pendergrass, Georgia manufacturing facility.

This is the first commercial LOI associated with the Pendergrass manufacturing facility, which remains on track to begin ramp-up in Q3 of calendar year 2026. The LOI identifies three initial utility-scale project opportunities totaling approximately 1.1 GWh across the United States: an approximately 400 MWh project in West Texas, an approximately 400 MWh project in Puerto Rico, and approximately 300 MWh across multiple projects in PJM territory. This LOI arises from the commercial framework contemplated at the time of IGC's December 2025 strategic investment in NeoVolta, when the parties announced plans to evaluate potential future commercial opportunities, including offtake arrangements that may align NeoVolta's commercial channels with IGC's grid-scale pipeline.

"This LOI with Infinite Grid Capital is a powerful validation of the platform we have been building," said Ardes Johnson, Chief Executive Officer of NeoVolta. "With the Georgia facility on track to begin ramp-up in Q3 of this year, we now have the framework for a strategic customer relationship that creates direct line-of-sight between our manufacturing ramp and a 1.1 GWh pipeline of identified utility-scale projects across West Texas, Puerto Rico, and PJM. This is exactly the kind of demand visibility that will support disciplined production planning as we approach first output, and it demonstrates that the market is actively seeking domestic, FEOC-compliant BESS supply from a trusted U.S. manufacturing partner."

"This LOI aligns closely with IGC's long-term strategic investment and infrastructure development vision in the United States," said Frank Liu, CEO of Infinite Grid Capital. "By securing approximately $200 million in domestically manufactured battery supply as a strategic resource, we are strengthening our ability to continuously invest in AI-driven power infrastructure and utility-scale energy storage projects across the U.S. market. We believe this partnership establishes a strong foundation for IGC's long-term growth and project deployment strategy in the United States."

The LOI is non-binding with respect to product purchase and supply obligations. Neither party has any obligation to purchase, sell, reserve, manufacture, deliver, or pay for any minimum quantity of products unless and until such obligations are expressly set forth in definitive written agreements.
