(“Beike” or the “Company”) (NYSE: BEKE; HKEX: 2423), a leading integrated online and offline platform for housing transactions and services, today announced that it will hold an annual general meeting of the Company’s shareholders (the “AGM”) at 11:00 a.m.Beijing time (or soon after the Class A Meeting and the Class B Meeting, both of which are defined below) on Friday, August 12, 2022 at Oriental Electronic Technology Building, No. 2 Chuangye Road, Haidian District, Beijing, PRC, for the purposes of considering and, if thought fit, passing each of the Proposed Resolutions as defined and set forth in the notice of the AGM (the “AGM Notice”). The AGM Notice and the form of proxy for the AGM are available on the Company’s website at https://investors.ke.com/. The board of directors of the Company fully supports the Proposed Resolutions and recommends that shareholders and holders of American depositary shares (“ADSs”) vote in favor of the Proposed Resolutions.
The Company will hold a class meeting of holders of Class A ordinary shares with a par value of US$0.00002 each (the “Class A Meeting”) and a class meeting of holders of Class B ordinary shares with a par value of US$0.00002 each (the “Class B Meeting”) convened on the same date and at the same place as the AGM, for the purposes of considering and, if thought fit, passing the Class-based Resolution as defined and set forth in the circular of the Company dated June 30, 2022, Hong Kong time. Holders of record of the Company’s ordinary shares as of the close of business on July 12, 2022, Hong Kong time, are entitled to receive notice of, and to attend and vote at, the AGM or any adjournment or postponement thereof, and, as applicable, the Class A Meeting or the Class B Meeting.
