Jackson Financial Inc. (NYSE: JXN) announced a $550 million offering of 22 million depositary shares, each representing a $25 interest in its Fixed-Rate Reset Noncumulative Perpetual Preferred Stock, Series A. Jackson Financial Inc.1 (NYSE: JXN) (Jackson®) today announced the pricing of a $550 million offering of 22,000,000 depositary shares, each representing a 1/1,000th interest in a share of its Fixed-Rate Reset Noncumulative Perpetual Preferred Stock, Series A, $25,000 liquidation preference per share (equivalent to $25 per depositary share), with a 5-year call/dividend rate reset period and noncumulative dividends. The underwriters have the option to purchase up to an additional 2,000,000 depositary shares to cover over-allotments, if any. Jackson intends to list the Depositary Shares on the NYSE under the symbol “JXN PR A.” The offering is expected to close March 13, 2023, subject to customary closing conditions.
Jackson intends to use the net proceeds of the offering and cash on hand for the repayment of the $600 million outstanding principal amount of its senior notes maturing in November 2023. Pending that use, it may invest the proceeds in short-term, interest-bearing securities.
Wells Fargo Securities, BofA Securities, J.P. Morgan and Morgan Stanley are acting as joint book-running managers for the offering.
