First Watch Restaurant Group (NASDAQ: FWRG) reported a strong performance for the third quarter ended September 26, 2021, with revenues soaring to $157.4 million, a 57.8% increase year-over-year. Same-restaurant sales grew 46.2%, while same-restaurant traffic rose 40.1%. The company achieved a net income of $0.8 million, or $0.02 per diluted share, reversing the net loss of $11.1 million in the prior year. Adjusted EBITDA surged to $17.0 million from $2.6 million. The company plans to open seven company-owned and two franchise-owned restaurants in the upcoming fourth quarter.

System-wide restaurants: the total number of restaurants, including all company-owned and franchise- owned restaurants.
Same-restaurant sales growth: the percentage change in year-over-year restaurant sales (excluding gift card breakage) for the comparable restaurant base, which is defined as the number of company-owned First Watch branded restaurants open for 18 months or longer as of the beginning of the fiscal year (“Comparable Restaurant Base”). For the thirteen weeks ended September 26, 2021 and the thirteen weeks ended September 27, 2020, there were 270 restaurants and 212 restaurants, respectively, in our Comparable Restaurant Base. Non-GAAP Financial Measures (Unaudited)
To supplement the consolidated financial statements, which are prepared and presented in accordance with U.S. generally accepted accounting principles (“GAAP”), the Company uses the following non-GAAP financial measures: Adjusted EBITDA, Adjusted EBITDA margin, Restaurant level operating profit and Restaurant level operating profit margin (collectively, the “non-GAAP financial measures”). These non-GAAP financial measures are not measurements of the Company’s financial performance under GAAP and should not be considered as an alternative to net income (loss), income (loss) from operations, or any other performance measures derived in accordance with GAAP, or as alternatives to cash flow from operating activities as a measure of our liquidity. Our non-GAAP financial measures may differ from similarly titled measures used by other companies due to different methods of calculation.
Adjusted EBITDA and Adjusted EBITDA Margin
Adjusted EBITDA represents net income (loss) before depreciation and amortization, interest expense, income taxes and items that we do not consider in our evaluation of ongoing core operating performance as identified in the reconciliation of net income (loss), the most directly comparable measure under GAAP, to Adjusted EBITDA. Adjusted EBITDA as shown is not adjusted to reflect the impact of pre-opening expenses or deferred rent (income) expense.
