Verra Mobility Announces Closing Of Senior Notes Offering And Refinancing Of Credit Facility
Verra Mobility (NASDAQ: VRRM) announced on March 26, 2021, the completion of a $350 million offering of 5.5 percent Senior Unsecured Notes due 2029 and a refinancing of its existing 2018 credit agreement. This includes a $650 million first lien term loan maturing in 2028 at LIBOR plus 3.25 percent. Proceeds will fund the acquisition of Redflex Holdings Limited and cover refinancing costs. Verra Mobility used the net proceeds from the offering, together with the proceeds of term loans incurred pursuant to an amendment and restatement agreement (the "Restatement Agreement"), to amend its First Lien Term Credit Agreement dated March 2018 and refinance all of its outstanding term loans, together with all accrued and unpaid interest, incurred pursuant to the Credit Agreement and intends to use the remainder of the net proceeds, together with cash on hand, to fund the purchase price for the previously announced acquisition of Redflex Holdings Limited, pay fees and expenses in connection with the refinancing and offering, and for general corporate purposes.
The Notes were offered in a private placement and sold only to persons reasonably believed to be "qualified institutional buyers" in accordance with Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and to certain non-U.S. persons in offshore transactions in reliance on Regulation S under the Securities Act.
