Interest on the Notes will be payable semi-annually in arrears, on May 6 and November 6 of each year, beginning on November 6, 2021. The offering of the Notes is expected to close on May 6, 2021, subject to the satisfaction of customary closing conditions.
The Notes are intended to qualify as Tier 2 capital for regulatory purposes. Texas Capital Bancshares, Inc. intends to use the net proceeds from this offering for general corporate purposes, which may include, among other uses, redeeming in whole or in part Texas Capital Bancshares, Inc.’s
