(NYSE: QEP) (QEP or the Company) today announced that Institutional Shareholder Services (ISS) has reaffirmed its previous recommendation of support for the proposed acquisition of QEP by Diamondback Energy, Inc. (Nasdaq: FANG) (Diamondback), citing the transaction’s “credible strategic rationale and multiple levers for value creation.”
The proposed acquisition continues to receive high levels of support from QEP shareholders and the Company continues to recommend its shareholders vote in favor of this compelling and value-creating transaction at the quickly approaching Special Meeting of QEP stockholders on March 16, 2021 (Special Meeting).
The Company believes this strategic merger with Diamondback is the best path forward to maximize both immediate and long-term value for all QEP shareholders. The combined company’s large, contiguous Tier-1 acreage position in the Northern Midland Basin is expected to drive operational synergies and capital efficiencies beyond what either company could achieve independently.
