The Duckhorn Portfolio, Inc. ("Duckhorn") (NYSE: NAPA) today announced the pricing of its public offering of 12,000,000 shares of its common stock to the public, with all shares being offered by certain of its stockholders (the “Selling Stockholders”) at a public offering price of $20.50 per share.
The offering is expected to close on October 19, 2021 subject to the satisfaction of customary closing conditions.
In addition, the underwriters have been granted a 30-day option to purchase up to an additional 1,800,000 shares of common stock from Duckhorn’s Selling Stockholders at the public offering price, less underwriting discounts and commissions. Duckhorn will not receive any proceeds from any sale of shares by the Selling Stockholders.
J.P. Morgan, Credit Suisse and Jefferies are acting as joint lead book-running managers and as representatives for the proposed offering. Barclays, BofA Securities, Citigroup, Evercore ISI and RBC Capital Markets are also acting as book-running managers for the proposed offering. Academy Securities, Ramirez & Co., Inc. and Siebert Williams Shank are also acting as co-managers for the proposed offering. The proposed offering will be made only by means of a prospectus.
