Insights

The completion of EIM's tender offer represents a significant capital markets event, with the fund purchasing 2,846,127 shares at $10.7664 per share, representing a 2% discount to NAV. The low pro-ration factor of 18.57% indicates strong shareholder interest, as the tender was significantly oversubscribed with over 15.3 million shares tendered versus the 2.85 million shares accepted.

The announcement of a potential second conditional tender offer starting March 10, 2025, introduces an important market mechanism. If the fund trades at an average discount exceeding 7.5% during the measurement period, it will trigger another tender for 5% of outstanding shares. This structural feature serves as a discount control mechanism, potentially supporting the fund's market price relative to its NAV.

For investors, the high oversubscription rate in the current tender offer suggests continued pressure on the fund's market price. The second conditional tender offer provides a partial backstop against excessive NAV discounts, though the 5% size limitation and potential pro-ration mean individual investors may receive only a small portion of tendered shares accepted.

In addition, EIM announced that, in connection with the recent close of the Fund’s Tender Offer on January 10, 2025, the Fund will commence a fourth-month measurement period, beginning March 10, 2025 through July 9, 2025, whereby if, during such period, the Fund’s common shares trade at an average discount to NAV of more than 7.5% (based upon the average of the difference between its volume-weighted average market price and NAV each business day during the period, as measured at the close of the period) (the “Second Trigger Event”), the Fund will conduct a tender offer (the “Second Conditional Tender Offer”) within 20 business days of the date on which the Second Trigger Event occurs. The Second Conditional Tender Offer will be for up to 5% of the Fund’s then-outstanding common shares at 98% of NAV per share as of the close of regular trading on the New York Stock Exchange on the date the tender offer expires.

If the conditions of the Second Trigger Event are met, then additional terms and conditions of the Second Conditional Tender Offer will be set forth in the Fund’s offering materials filed with the U.S. Securities and Exchange Commission (the “SEC”), which will be distributed to the Fund’s common shareholders, and in additional press releases, as applicable. If the number of common shares tendered in the Second Conditional Tender Offer exceeds the maximum amount of the Second Conditional Tender Offer, the Fund will purchase shares from tendering shareholders on a pro-rata basis (disregarding fractional common shares). Accordingly, there is no assurance that the Fund will purchase all of a shareholder’s common shares tendered in the Second Conditional Tender Offer. The Fund may determine not to accept shares tendered in the Second Conditional Tender Offer under various circumstances, as will be set forth in the offering materials. Further information about the Second Conditional Tender Offer will be announced in future press releases and the Fund’s offering materials.
