Insights

This $100 million acquisition of A.O.T. by BWXT from L3Harris represents a strategic divestiture in the defense materials sector. A.O.T.'s $40 million trailing revenue and position as the sole depleted uranium provider to the U.S. government makes this a significant transaction.

The deal valuation at 2.5x revenue appears reasonable given A.O.T.'s unique market position and specialized capabilities. For L3Harris, this sale aligns with their portfolio optimization strategy while being relatively immaterial to their overall revenue base (0.1% of annual revenue). The anticipated earnings accretion for BWXT within 12-18 months suggests favorable deal economics.

Key value drivers include:

  • Monopolistic market position in depleted uranium
  • Diversified specialty materials portfolio
  • Established government contracts
  • Technical expertise and manufacturing capabilities
