I (“LHCA”) have publicly filed registration statements on Form S-1 (the “LFTA Registration Statement” and “LHCA Registration Statement”, respectively) with the U.S. Securities and Exchange Commission (the “SEC”) relating to each of their proposed initial public offerings of 25,000,000 units at a price of $10.00 per unit, each unit consisting of one Class A ordinary share and one-fifth of one redeemable warrant. LFTA intends to apply to list the units on Nasdaq under the ticker symbol “LFTAU”. LHCA intends to apply to list the units on Nasdaq under the ticker symbol “LHCAU”.

The proposed offering by LFTA is separate from the proposed offering by LHCA, and neither proposed offering is conditioned upon the other. Each offering is subject to market and other conditions, and there can be no assurance as to whether or when any offering may be completed, or as to the actual size or terms of any offering.
