MEDFORD, Ore.--()--Lithia Motors, Inc. (NYSE: LAD) today announced that we intend to offer, subject to market and other conditions, $500 million in aggregate principal amount of senior notes due 2031 (the "Notes") in a private offering (the "Private Offering") that is exempt from the registration requirements of the Securities Act of 1933, as amended (the "Securities Act"). Lithia intends to use the net proceeds of the Private Offering for general corporate purposes, which may include financing possible acquisitions, repaying or refinancing debt, working capital and capital expenditures.

In addition, today we concurrently announced our intention to offer $700 million of shares of our Class A common stock (the “common stock”) in a registered public offering ($805 million of shares if the underwriters in the common stock offering exercise in full their option to purchase additional shares). This press release is neither an offer to sell nor a solicitation of an offer to buy shares of our common stock.

The Notes will be offered and sold only to persons reasonably believed to be qualified institutional buyers in the United States pursuant to Rule 144A under the Securities Act and outside the United States pursuant to Regulation S under the Securities Act.
