Introduction
The Company’s third quarter fiscal 2023 financial performance was very strong, highlighted by the following key metrics:

The Company’s consolidated sales for the quarter ended May 31, 2023, increased
8% (9% in constant currency) to a third-quarter record , compared with$71.4 million in the third quarter of fiscal 2022. This growth was on top of the strong$66.2 million 13% growth achieved in last year’s third quarter, a quarter which benefited from comparison against a pandemic-impacted third quarter in fiscal 2021. For the rolling four quarters ended May 31, 2023, the Company’s consolidated sales increased11% , or , to$28.4 million compared with$281.4 million in the corresponding period ended May 31, 2022. This increase represents the second highest amount of dollar growth in any comparable period over the past six years and was exceeded only by growth in fiscal 2022, which benefited from comparison against a pandemic period. The latest two-year growth of$253.0 million represents the largest two-year dollar growth since the conversion to a subscription model. Since the Company’s conversion to its subscription business model in fiscal 2017, subscription and subscription services sales have grown by$77.2 million to$152.4 million in the four quarters ended May 31, 2023. 21% to , compared with May 31, 2022. Total Company deferred revenue as of May 31, 2023, was$140.9 million , representing growth of$90.5 million , or$5.0 million 6% , over May 31, 2022. As of May 31, 2023,52% of the Company’s All Access Pass contracts are for at least two years, compared with42% at May 31, 2022, and the percentage of contracted amounts represented by multi-year contracts increased to57% from52% in the prior year.

Third Quarter Financial Overview
The following is a summary of financial results for the third quarter of fiscal 2023:

Net Sales: Consolidated sales for the quarter ended May 31, 2023, increased
8% , or , to a third-quarter record of$5.3 million , compared with$71.4 million in the third quarter of fiscal 2022. This growth was on top of the record sales and strong$66.2 million 13% growth achieved in third quarter of fiscal 2022, a quarter which benefited from comparison against a pandemic-impacted third quarter of fiscal 2021. Excluding the unfavorable impact of foreign exchange rates during the quarter, consolidated sales increased9% compared with the prior year. The Company continues to be pleased with the performance of the All Access Pass and Leader in Me subscription-based services, which drove continued growth during the third quarter of fiscal 2023. For the third quarter of fiscal 2023, Enterprise Division sales grew6% , or , to$3.2 million compared with$53.2 million in fiscal 2022. This$50.0 million 6% growth was on top of the11% growth in last year’s third quarter, a quarter which benefited from comparison against a pandemic-impacted third quarter in fiscal 2021. For the third quarter of fiscal 2023, AAP subscription and subscription services sales increased6% to and have increased$41.3 million 15% over the latest 12 months. This15% growth was on top of the32% growth in the previous 12 month period, a period which benefited from comparison against a covid-impacted year. International Direct Office sales increased23% for the quarter, which was primarily due to improved sales inChina , as that country recovers from ongoing pandemic issues. International licensee revenues continue to improve and increased9% compared with the prior year, despite the adverse impact of foreign exchange rates, and the ongoing impact of various geopolitical difficulties around the world. Excluding the impact of unfavorable foreign exchange rates, Enterprise Division sales increased8% compared with the prior year. Education Division sales grew18% , or , to$2.6 million compared with$17.1 million in the third quarter of fiscal 2022. Education Division sales grew primarily due to increased consulting, coaching, and training days delivered during the quarter and increased Leader in Me subscription revenue compared with the prior year.$14.4 million -
Deferred Subscription Revenue and Unbilled Deferred Revenue: At May 31, 2023, the Company had
of billed and unbilled deferred subscription revenue, a$140.9 million 21% , or increase over the balance at May 31, 2022. This total includes$24.4 million of deferred subscription revenue on the balance sheet, a$72.7 million 6% , or increase compared with deferred subscription revenue on May 31, 2022. Unbilled deferred subscription revenue represents business (typically multi-year contracts) that is contracted but unbilled and excluded from the Company’s balance sheet.$4.2 million -
Gross profit: Gross profit for the third quarter of fiscal 2023 increased
6% to , compared with$54.2 million in the third quarter of fiscal 2022. The Company’s gross margin for the quarter ended May 31, 2023, remained strong at$51.1 million 75.9% compared with77.3% in fiscal 2022, and was impacted by changes in the overall mix of services and products sold during the quarter, including an increase in the number of onsite programs presented, and by an increase in lower-margin Education Division revenues in relation to total consolidated sales. -
Operating Expenses: The Company’s operating expenses for the quarter ended May 31, 2023, increased
compared with the third quarter of fiscal 2022, which was due to a$2.5 million increase in selling, general, and administrative (SG&A) expenses. Despite the increase in overall SG&A expenses, SG&A as a percentage of revenue declined to$3.0 million 63.9% in the third quarter of fiscal 2023 compared with64.4% in the prior year. The Company’s SG&A expenses increased primarily due to additional associate costs resulting from investments in new client-facing personnel and increased salaries; increased commissions on higher sales; increased stock-based compensation expense; and increased travel expense. Over the previous 12 months, the Company has invested in new associates for a variety of primarily client-facing roles, including sales and sales-related personnel, Leader in Me coaches, and implementation specialists. The Company believes these investments will provide a strong return in future periods. The increase in stock-based compensation expense is primarily due to increased use of equity-based compensation awards to attract and retain key personnel. -
Operating and Pre-Tax Income: The Company’s income from operations for the quarter ended May 31, 2023, increased
10% to , compared with$6.6 million in the third quarter of fiscal 2022. As a result of increased interest income and decreased interest expense, the Company’s pre-tax income for the third quarter of fiscal 2023 increased$5.9 million 18% , or , to$1.0 million , compared with$6.6 million in the prior year.$5.6 million -
Income Taxes: In the third quarter of fiscal 2022, the Company recognized an income tax benefit of
on pre-tax income of$1.6 million , for an effective income tax benefit rate of approximately 29 percent. The income tax benefit in fiscal 2022 resulted primarily from the utilization of$5.6 million of foreign tax credits which were not expected to be used and which previously had a valuation allowance against them, as well as a$3.0 million tax benefit from the federal tax deduction for Foreign-Derived Intangibles Income. The income tax benefit of these items did not repeat in fiscal 2023 and the Company’s income tax provision resulted in a more normalized$0.5 million 31% effective tax rate for the quarter.

Net Income: As a result of the factors noted above, the Company’s net income for the third quarter of fiscal 2023 was

Adjusted EBITDA: Adjusted EBITDA for the quarter ended May 31, 2023, improved
