JACKSONVILLE, Fla.--(BUSINESS WIRE)-- Dun & Bradstreet Holdings, Inc. (NYSE: DNB), a leading global provider of business decisioning data and analytics, announced today that its indirect wholly owned subsidiary, The Dun & Bradstreet Corporation (the “Issuer”), has completed its previously announced offering of $460.0 million aggregate principal amount of 5.00% senior notes due 2029 (the “Notes”) in a private offering (the “Offering”). The Notes are guaranteed on a senior unsecured basis by each of the Issuer’s subsidiaries that guarantees indebtedness under the Issuer’s senior secured credit facilities.

The Issuer used the net proceeds from the Offering and cash on hand to (i) fund the previously announced redemption of all of its outstanding 10.250% senior notes due 2027 and (ii) pay related fees, costs, premiums and expenses.

The Notes and related guarantees were offered only to persons reasonably believed to be qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”) and outside the United States only to non-U.S. investors pursuant to Regulation S. The Notes have not been and will not be registered under the Securities Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States absent an effective registration statement or an applicable exemption from registration requirements or in a transaction not subject to the registration requirements of the Securities Act or any state securities laws.
