All of the shares of common stock in the offering are to be offered by the Company. The offering is subject to market and other conditions, and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering. The Company intends to use any net proceeds received from this offering for working capital and general corporate purposes, including the payment of certain obligations as described in the preliminary prospectus supplement to be filed with the Securities and Exchange Commission (the “SEC”).
