MONTRÉAL, Nov. 06, 2023 (GLOBE NEWSWIRE) -- Bombardier Inc. (“Bombardier” or the “Company”) today announced an amendment with respect to its cash tender offer previously announced on November 6, 2023 (the “Tender Offer”) to purchase for cash up to
The Tender Offer and the Offer to Purchase are hereby amended as follows:
- The Aggregate Maximum Purchase Amount shall be raised from
$110,000,000 t o$360,000,000 ; - The 2026 Tender Cap shall be raised from
$75,000,000 t o$200,000,000 ; and - The 2027 Tender Cap shall be raised from
$35,000,000 t o$160,000,000.
Except as expressly set forth herein, the terms and conditions with respect to the Tender Offer are as set forth in the Offer to Purchase, subject to the Corporation’s right to further waive, amend or terminate any provisions of the Tender Offer, in the Corporation’s sole and absolute discretion.
The obligation of the Company to accept for purchase, and to pay for, Notes validly tendered pursuant to the Tender Offer is subject to, and conditioned upon, the satisfaction or waiver of certain conditions as set forth in the Offer to Purchase, in the sole and absolute discretion of the Company, including the Company’s completion of the New Offering prior to November 24, 2023, on terms satisfactory to the Company.
