Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 8, 2025, Jeremy S. Halford, Executive Vice President, Chief Operating Officer of GrafTech International Ltd. (the “Company”), informed the Company of his intent to resign from his role with the Company, effective September 12, 2025, to pursue another opportunity. Mr. Halford’s resignation is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
