The year over year change was due to the gross profit decline of$4.7 million which is inclusive of the restructuring expense, offset by a reduction in related party expense of$3.6 million . This related party expense reduction is primarily driven by the modification of the services provided when the merger agreement was entered into on October 9, 2022.

About Non-GAAP Financial Measures
This press release includes constant currency, EBITDA and Adjusted EBITDA, each of which is a financial measure that is not prepared in accordance with U.S. generally accepted accounting principles (“GAAP”).
