Vislink Technologies (VISL) has announced its voluntary delisting from the Nasdaq Capital Market. The company plans to file a Form 25 with the SEC and Nasdaq around February 10, 2025, with the delisting becoming effective 10 days after filing.

The Board of Directors made this decision after evaluating multiple factors, including the lack of an active trading market and the significant expenses related to SEC and Nasdaq reporting requirements. Following delisting, Vislink expects its common stock to be traded on the OTC Markets Group platform, though there's no guarantee of continued market making.

CEO Mickey Miller stated that this move is expected to generate significant savings in resources, allowing the company to focus more on product development and customer acquisition to enhance long-term shareholder value.

Mickey Miller CEO

Insights

The voluntary delisting announcement from Vislink Technologies represents a critical inflection point that warrants serious investor attention. With a micro-cap valuation of just $9.6 million, this strategic pivot carries substantial implications for shareholders and market dynamics.

The migration to OTC markets typically results in:

  • Reduced trading volume and wider bid-ask spreads, potentially creating significant liquidity challenges for existing shareholders
  • institutional investor participation due to investment mandate restrictions
  • Decreased transparency and reporting requirements, which could impact price discovery and valuation accuracy
  • Potential difficulty in accessing capital markets for future funding needs

While management cites cost savings from reduced regulatory compliance as a benefit, historical precedents suggest companies that voluntarily delist often face challenging paths forward. The estimated annual cost savings from eliminating Nasdaq listing fees and reduced compliance requirements typically range from $250,000 to $500,000, but this must be weighed against the loss of market visibility and credibility.

The timing of this decision, coupled with the micro-cap status, suggests deeper financial or operational challenges that investors should scrutinize. Similar cases in the technology sector have often preceded either significant restructuring efforts or, in some cases, eventual privatization attempts. The absence of an active trading market, as cited by management, indicates potential fundamental issues with investor interest and market validation of the company's business model.

For existing shareholders, the 10-day notice period before delisting becomes effective creates a critical decision window. The transition to OTC markets historically correlates with increased volatility and potential value deterioration, particularly in the initial months following delisting.

Mt. Olive, NJ, Jan. 31, 2025 (GLOBE NEWSWIRE) -- Vislink Technologies, Inc. (Nasdaq: VISL) (“Vislink” or the “Company”), a global technology leader in the capture, delivery, and management of high-quality, live video and associated data in the media and entertainment, public safety, and defense markets, today announced that it has provided notification to The Nasdaq Stock Market, LLC (“Nasdaq”) of its intent to voluntarily delist the Company’s common stock, par value $0.00001 per share (the “Common Stock”), from the Nasdaq Capital Market. Vislink expects to file a Form 25 (Notification of Removal from Listing) with the Securities and Exchange Commission (the “SEC”) and Nasdaq relating to the delisting of its Common Stock on or about February 10, 2025. The removal of the Common Stock from Nasdaq will be effective 10 days after the filing of the Form 25.

The withdrawal of the Common Stock from listing and registration is being undertaken following a determination by the Company’s Board of Directors (the “Board”) that such delisting and deregistration is in the best interest of the Company and the holders of its Common Stock. The Board’s decision was based on a careful review of numerous factors, including but not limited to, the lack of an active trading market for the Company’s securities, the required resources and expenses relating to continued Securities Exchange Act of 1934 and Nasdaq disclosure and reporting requirements and related regulatory burdens which have resulted and would continue to result in significant operating expense and attention of the Company’s management team.

Following the delisting, the Company expects that the Common Stock will be quoted for trading on a market operated by the OTC Markets Group Inc. (the “OTC”) so that a trading market may continue to exist for such securities. There is no guarantee, however, that a broker will continue to make or maintain a market in the Common Stock.

“We believe delisting will help us realize significant savings in both time and resources that will allow us to better focus our energies on developing new products and customers that will deliver greater shareholder value in the long term,” said Mickey Miller, CEO of Vislink.
