The notes will generate approximately $22.5 million in net cash after repurchasing $45 million of existing notes. The conversion price is set at $1.75 per share, yielding a 101% premium over the latest closing price. Proceeds will be used to pay off maturing Seller Notes and to enhance liquidity for growth strategies. The notes feature a minimum interest rate of 10.5% per annum.
