(“ToughBuilt” or the “Company”) (NASDAQ: TBLT; TBLTW), today announced the closing of its previously announced firm commitment public offering of 19,000,000 shares of its common stock and warrants to purchase up to 20,700,000 shares of common stock at a price to the public of $1.00 per common share and warrant for an aggregate purchase price of $19,017,000. The Company received net proceeds of approximately $17 million from the offering after deducting underwriting discounts and commissions and other offering expenses paid by the Company.

Maxim Group LLC acted as lead managing underwriter and Joseph Gunnar & Co. is acting as joint-bookrunning underwriter in connection with the offering.
