Insights

This merger announcement presents a significant strategic transaction with compelling financial metrics. The combined entity projects $2.7 billion in revenue and $315 million in adjusted EBITDA by 2028, with an impressive 12% EBITDA margin. The deal offers Shyft shareholders a 30% premium without synergies and 58% including synergies, representing substantial immediate value creation.

The transaction structure, with Shyft shareholders receiving 1.04 shares and owning 48% of the combined company, was reached after a thorough process that included evaluating six other potential partners. The tax-free structure and secured financing enhance deal certainty. Market expansion opportunities and operational synergies between both companies' complementary product portfolios should drive significant value creation.

The financial projections reveal substantial growth potential, with the combined entity targeting $3+ billion in longer-term revenue and mid-teens EBITDA margins. This represents meaningful margin expansion from current levels. The merger combines Shyft's $872 million (2023) revenue base with Aebi Schmidt's €1+ billion (2024) revenue, creating immediate scale benefits.

The fully-committed financing package from UBS and Zürcher Kantonalbank provides transaction certainty and suggests favorable debt terms. The all-stock structure preserves capital for growth investments while allowing shareholders to participate in future upside. The combined company's enhanced scale and geographical diversification should result in improved credit metrics and potentially lower cost of capital.

This merger creates a global specialty vehicles powerhouse by combining Shyft's North American leadership in last-mile delivery and specialty vehicles with Aebi Schmidt's strong European presence and expertise in transportation surface management equipment. The complementary product portfolios and minimal geographical overlap provide clear cross-selling opportunities.

The combined company will benefit from enhanced scale in procurement, shared technology investments and broader customer relationships. Aebi Schmidt's proven M&A integration capabilities, demonstrated through successful integrations of Snow & Ice Business, Monroe Truck Equipment and M-B Companies, provide confidence in achieving projected synergies. The expanded geographic footprint and diversified end markets should also reduce cyclicality and improve resilience.
