SAN DIEGO and GAINESVILLE, Ga., Nov. 09, 2022 (GLOBE NEWSWIRE) -- Societal CDMO, Inc. (“Societal CDMO”; NASDAQ: SCTL), a contract development and manufacturing organization (CDMO) dedicated to solving complex formulation and manufacturing challenges primarily in small molecule therapeutic development, today reported financial results for the third quarter and nine months ended September 30, 2022.
“The third quarter was a particularly productive time for Societal as we continued to successfully execute against our stated goals for the year, with a particular focus on improving the company’s financial position. A number of achievements contributed to this objective during the period,” said David Enloe, chief executive officer of Societal CDMO. “As discussed previously, in recent months a considerable effort has been directed toward the monetization of our land and facilities. During the third quarter, it was gratifying to see these transactions begin to materialize. In August, the company executed an agreement to sell 121 acres of unused land adjacent to our Georgia campus. Proceeds from this transaction will be used to reduce our debt, improve our cash flow, and ultimately improve our overall financial standing.
“During the quarter, the company entered into an amended license and supply agreement with Lannett Company for the marketing of Verapamil PM and Verelan products. The terms of this amendment provide Societal with improved overall economics. In addition, the amendment awards Societal several potential new GMP manufacturing agreements for certain Lannett development projects. Third Quarter 2022 and Other Recent Developments
Business Development:
- New and expanded customer projects. During the quarter, the company signed
$8.2 million in new and expanded project agreements. This represents the highest number of new contracts signed in any quarter by the company since becoming an independent and dedicated CDMO. The new projects span clinical trial services, analytical method, tech transfer, formulation development, cGMP manufacturing, and packaging services.
- Favorably amended license and supply agreement with Lannett Company for the marketing of Verapamil PM and Verelan SR products. Societal CDMO owns the new drug application (NDA) and the drug master file for Verapamil, an approved calcium channel blocker for the treatment of hypertension. Lannett has served as the company’s marketing partner for certain formulations of this drug since 2014. As the market for Verapamil is mature, revenues for the entire franchise were expected to remain flat for the duration of the year. However, Lannett’s sales of Verapamil PM have declined in recent quarters, prompting Societal management to engage in restructuring discussions with Lannett. In July, Societal and Lannett agreed to an amendment to the supply agreement. Under terms of the amendment, Societal will now receive improved overall economics, including a
10% increase in the profit share component of revenue from Verapamil PM product sales, as well as immediate and scheduled increases in manufacturing prices. Additionally, the amendment awards Societal potential new GMP manufacturing agreements targeting injectable products for multiple additional Lannett development projects.
Corporate Achievements:
- Real Estate Sale and Purchase Agreement: In August 2022, the company signed a sales and purchase agreement to sell approximately 121 acres of lakefront land to David Weekley Homes, an established and nationally recognized homebuilder, for approximately
$9.1 million . The land is located adjacent to Societal’s manufacturing facility in Gainesville, Georgia. The closing of the sale is subject to completion of standard due diligence and other customary conditions. Subject to completion of diligence, Societal CDMO expects the sale to close in the second half of 2023 and intends to use the proceeds from the sale to strengthen its balance sheet by paying down a portion of its outstanding debt.
