(“Holdings”), priced a registered public offering of $1.0 billion aggregate principal amount of 3.125% Senior Notes due 2052 of Holdings (the “Notes”).

Holdings anticipates that the offering will close on October 4, 2021, subject to customary closing conditions, and plans to use the net proceeds from the Notes for general corporate purposes and in line with the Company’s long-term strategic objectives.
