(NASDAQ: QLGN) ("Qualigen" or the "Company"), today announced the closing of its previously announced registered direct offering, priced at-the-market under Nasdaq rules, with a single institutional investor for the purchase and sale for $10,000,000 of (i) 1,717,106 shares of common stock and (ii) 1,287,829 common stock Warrants at a combined purchase price of $5.82375 ($5.73 per share of common stock and $0.125 per full Warrant).  The Warrants have an exercise price of $6.00 per share, are exercisable immediately and have a term of two years.

A.G.P./Alliance Global Partners acted as sole placement agent for the offering.

The securities were sold pursuant to an effective shelf registration statement on Form S-3 (File No. 333-232798) previously filed with the U.S. Securities and Exchange Commission.
