Insights
The buyout of Nuvei Corporation by Advent International represents a significant event for investors. The offered price of $34.00 per share indicates a
From a valuation standpoint, the cash offer within the stated fair market value range by TD Securities provides immediate liquidity and certainty of value for shareholders. This is particularly important in the current market environment where volatility can rapidly change share prices. For investors, this buyout represents an opportunity to capitalize on a premium valuation, while avoiding potential future declines in share prices if the deal does not materialize.
However, there are some risks involved. If the vote does not pass or the acquisition faces regulatory hurdles, the share price might drop back to pre-announcement levels or even lower, which would be a significant downside for those who have bought in at higher valuations hoping for the acquisition to go through.
From a legal perspective, this transaction is subject to thorough scrutiny. The issuing of the interim order by the Superior Court of Québec authorizing the Meeting is a critical step forward. The shareholders' approval process is stringent, requiring multiple majority votes as stipulated.
One notable point is the exclusion of Rollover Shareholders from certain votes, adhering to the Multilateral Instrument 61-101—which is designed to protect minority shareholders in special transactions. This ensures fairness and reduces potential conflicts of interest, which might otherwise skew the vote's outcome.
Moreover, the involvement of independent legal counsel and financial advisors such as TD Securities in recommending the transaction to the Board showcases a commitment to transparency and due diligence. This legal robustness can provide investors with greater confidence in the legitimacy and fairness of the process, though it doesn’t negate the inherent risks associated with the final approval stages.
The strategic move by Advent International to take Nuvei private highlights a broader trend in the payments and fintech industry where consolidation is becoming increasingly prevalent. This buyout indicates that private equity firms see significant growth potential in Nuvei’s business model and market position, even amidst economic uncertainties.
For retail investors, understanding the industry dynamics—such as the strong premium placed on Nuvei—can be insightful. It signals that fintech companies with robust platforms and growth trajectories are appealing acquisition targets. This trend may continue, suggesting that other companies in similar strategic positions might also become targets, potentially leading to further market consolidation.
However, investors should also consider the long-term implications of such buyouts. While immediate liquidity and premium payouts are advantageous, the potential for future value creation under private ownership could mean that remaining public shareholders miss out on longer-term gains. This aspect should be weighed carefully when deciding whether to support such arrangements.

The special meeting of shareholders (the "Meeting") has been called for shareholders of Nuvei to consider, and, if deemed advisable, to pass, with or without variation, a special resolution (the "Arrangement Resolution") approving a statutory plan of arrangement (the "Arrangement") involving the Company and Neon Maple Purchaser Inc. (the "Purchaser"), a newly-formed entity controlled by Advent, pursuant to the provisions of the Canada Business Corporations Act. Pursuant to the Arrangement, the Purchaser will acquire all the issued and outstanding subordinate voting shares ("Subordinate Voting Shares") and multiple voting shares ("Multiple Voting Shares" and collectively with the Subordinate Voting Shares, the "Shares") of the Company that are not held by Philip Fayer, certain investment funds managed by Novacap Management Inc. Board Recommends Shareholders Vote FOR the Arrangement
The board of directors of the Company (the "Board") has unanimously concluded (with interested directors abstaining from voting) that the Arrangement is in the best interests of the Company and its shareholders and recommends that shareholders vote FOR the Arrangement Resolution. This recommendation follows the unanimous recommendation of a special committee of the Board which is comprised solely of independent directors and was formed in connection with the transaction (the "Special Committee"), to the effect that the Arrangement and the entering into of the Arrangement Agreement is in the best interests of the Company and the Arrangement is fair to Shareholders (other than the Rollover Shareholders). The Special Committee was advised by independent legal counsel and retained TD Securities Inc. ("TD") as financial advisor and independent valuator.
Reasons to vote FOR the Arrangement include:
- Attractive Premium. The Consideration represents a significant and attractive premium of approximately
56% to the closing price of the Subordinate Voting Shares on the Nasdaq on March 15, 2024, the last trading day prior to media reports regarding a potential transaction involving the Company, and a premium of approximately48% to the 90-day volume weighted average trading priceii per Subordinate Voting Share as of such date. - Maximum Consideration. The Special Committee concluded, after extensive negotiations, that the Consideration, which represents an increase of approximately
42% from the consideration initially proposed by Advent, was the highest price that could be obtained from Advent and that further negotiation may have caused Advent to withdraw its proposal. - Consideration within the Valuation Range. The Consideration is within the range of the fair market value of the Shares as determined by TD Securities in its formal valuation.
- Form of Consideration. The cash consideration provides certainty of value and immediate liquidity.
In the event that the Arrangement is not completed, the trading price of the Subordinate Voting Shares could decline significantly to levels at or below those experienced before the dissemination of media reports on March 16, 2024 regarding a potential transaction involving the Company.
