NewHold Investment Corp. II (the “Company”) announced today the pricing of its initial public offering of 17,500,000 units at a price of $10.00 per unit. The units will be listed on the Nasdaq Global Market (“Nasdaq”) and will trade under the ticker symbol “NHICU” beginning on October 21, 2021.
Each unit consists of one share of the Company’s Class A common stock and one-half of one redeemable warrant, with each whole warrant exercisable to purchase one Class A common stock at a price of $11.50 per share (subject to adjustment). Only whole warrants will be exercisable. Once the securities comprising the units begin separate trading, the Class A common stock and the warrants are expected to be listed on Nasdaq under the symbols “NHIC” and “NHICW,” respectively. The offering is expected to close on October 25, 2021, subject to satisfaction of customary closing conditions.
Stifel is acting as the sole book-running manager of the offering. Cabrera Capital Markets LLC, Maxim Group LLC, Siebert Williams Shank, and AmeriVet Securities are acting as co-managers of the offering. The Company has granted the underwriters a 45-day option to purchase up to an additional 2,625,000 units at the initial public offering price to cover over-allotments, if any.
