The Company is conducting the offering pursuant to an effective registration statement under the Securities Act of 1933. The Company expects to grant the respective underwriters a 30-day option to purchase up to an additional 487,500 shares of Common Stock.

The Company intends to use the net proceeds from the offering for general corporate purposes, which may include the payment of a portion of the purchase price for its previously announced acquisition of certain assets from SWEPI LP (the “Acquisition”).
