The deadline for holders of 2027 Notes to tender their 2027 Notes in the 2027 Tender Offer was the 2027 Expiration Date. 2027 Notes tendered pursuant to the Guaranteed Delivery Procedures (as defined in the Offer to Purchase) will have until the Guaranteed Delivery Expiration Date (as defined in the Offer to Purchase) to tender their 2027 Notes. Accordingly, 2027 Notes that have been validly tendered and not validly withdrawn may not be withdrawn or such tenders revoked, except as required by applicable law.
Holders who validly tendered and did not validly withdraw their 2027 Notes in the 2027 Tender Offer on or prior to the Expiration Date or the Guaranteed Delivery Expiration Date, as applicable, will be eligible to receive the total consideration of
The settlement date of the 2027 Tender Offer will occur within three business days following the 2027 Expiration Date, on April 10, 2024, or as promptly as practicable thereafter (the "2027 Notes Settlement Date").
The 2027 Tender Offer Consideration will be paid together with accrued and unpaid interest on the 2027 Notes from the last interest payment date preceding the applicable 2027 Notes Settlement Date to, but not including such 2027 Notes Settlement Date ("Accrued Interest"). All 2027 Notes accepted for purchase in the 2027 Tender Offer will cease to accrue interest on the applicable 2027 Notes Settlement Date, unless Nexa Resources defaults in the payment of amounts payable pursuant to the 2027 Tender Offer.
