("Newborn" or the "Company") (NASDAQ:NBAC), encourages its shareholders to vote in favor of the extension proposals.  The purpose of the Extension Amendment is to allow the Company more time to complete its previously announced business combination with Nuvve Corporation without depositing additional funds into the trust account.  Nuvve Corporation is a San Diego-based green energy technology company whose mission is to lower the cost of electric vehicle ownership while supporting the integration of renewable energy sources, including solar and wind.  Shareholders are not being asked to vote on the proposed business combination at this time. The Extraordinary General Meeting will be held on February 18, 2021 at 8:00 a.m., Hong Kong Time (7:00 p.m. Eastern Time on February 17, 2021) at Room 801, Building C, SOHO Square, No. 88, Zhongshan East 2nd Road, Huangpu District, Shanghai, 200002, China.
