Medalist Diversified REIT, Inc. (NASDAQ: MDRR) (the "Company" or "Medalist"), a Virginia-based real estate investment trust that specializes in acquiring, owning and managing commercial real estate in the Southeast region of the U.S., announced today that the Company’s Board of Directors (the “Board”) has granted a waiver of the ownership limitations in Article VI of the Company’s Articles of Incorporation as amended (the “Charter”) to permit Francis P. Kavanaugh and certain of his affiliates (“Kavanaugh”) to own up to 20.0% in the aggregate of the outstanding shares of capital stock of the Company. Concurrent with this waiver, the Board in accordance with authority vested in it under the Charter: (a) decreased the Aggregate Share Ownership Limit (as defined in the Charter) from 9.8% in value of the aggregate of the outstanding Shares (as defined in the Charter) to 3.6% in value of the aggregate of the outstanding Shares for all persons and entities other than for any Excepted Holder (as defined in the Charter) and other than for any person or entity as to whom the decrease shall not be effective pursuant to, and on the terms and conditions specified in, Section 6.1.8 and (b) decreased the Common Share Ownership Limit (as defined in the Charter) from 9.8% (in value or in number of Common Shares, whichever is more restrictive) of the aggregate of the outstanding Common Shares to 3.6% (in value or in number of Common Shares, whichever is more restrictive) of the aggregate of the outstanding Common Shares for all persons and entities other than any Excepted Holder and other than for any person or entity as to whom the decrease shall not be effective pursuant to, and on the terms and conditions specified in, Section 6.1.8 of the Charter.
