Insight Select Income Fund Announces Results of Special Meeting of Shareholders Relating to Reorganization With and Into KKR Income Opportunities Fund
Insight Select Income Fund (NYSE:INSI) shareholders have approved the Agreement and Plan of Reorganization with KKR Income Opportunities Fund (KIO). The reorganization is expected to close on February 7, 2025, subject to customary conditions.
Under the agreement, shareholders will receive KIO common stock and can elect to receive a portion in cash, with elections due by January 31, 2025. Shareholders who don't make an election will automatically receive stock consideration. INSI shares will cease trading on NYSE at 4:00 p.m. on the election deadline date.
Distributions of stock and cash are expected to be made on February 12, 2025, or shortly after the reorganization closes. Following the reorganization, INSI will be dissolved and terminated in accordance with organizational documents and the 1940 Act.
