I (“Healthwell,” “HWEL” or the “Company”) (NASDAQ: HWEL) announced today that it has postponed the date of the special meeting of the Company’s stockholders (the “Meeting”) to approve its proposed business combination with Starton Therapeutics, Inc. (“Starton”) and related transactions from the originally scheduled date of October 19, 2023. The new Meeting time and date will be 10:00 a.m. Eastern Time on October 25, 2023 and will be held virtually. At the Meeting, the stockholders will vote on the proposals set forth in Healthwell’s proxy statement/prospectus dated October 2, 2023 and filed with the Securities and Exchange Commission to approve the business combination with Starton and related proposals described therein (collectively, the “Proposals”).

The record date for the Meeting remains the close of business on September 14, 2023 Stockholders who have previously submitted their proxy or otherwise voted and who do not want to change their vote need not take any action. Stockholders as of the Record Date can vote, even if they have subsequently sold their shares.
