(OTC Expert Market: HRST) (“Harvest” or the “Company”) today announced that on October 15, 2021 the Board of Directors (the “Board”) of the Company approved a liquidating distribution of $10.00 per share of the Company’s common stock, par value $0.01 per share, or $10,265,410.00 in the aggregate (the “Liquidating Distribution”), which will be paid on November 4, 2021 to stockholders of record as of October 28, 2021.

The distribution is intended to be treated as a taxable liquidating distribution pursuant to the plan of distribution adopted on April 9, 2021 by the Board in accordance with Section 281(b) of the General Corporation Law of the State of Delaware (the “DGCL”). Repayment of Seller Note

On September 30, 2021, OWS fully repaid the Seller Note, which at the time of its repayment totaled $15.6 million.

The Company has previously reported a contingency that existed as a result of a notice provided by EnerVest, Ltd. and EnerVest Operating (together, the “EnerVest Group”) regarding uncollectible accounts receivable from third-party working interest owners that the EnerVest Group believed was owed by Harvest.
