CANTON, Ohio--()--Hall of Fame Resort & Entertainment Company (“HOFV” or the “Company”) (NASDAQ: HOFV, HOFVW), the only resort, entertainment and media company centered around the power of professional football and owner of the Hall of Fame Village powered by Johnson Controls, today announced the closing of its previously announced public offering of 17,857,142 units at a price of $1.40 per unit. Each unit consists of one share of common stock and one warrant to purchase one share of common stock. In addition, the Company had granted to Maxim Group LLC a 45-day option to purchase up to an additional 2,678,571 shares of common stock and/or warrants to purchase up to 2,678,571 shares of common stock at the public offering price less discounts and commissions, of which Maxim Group LLC has exercised its option to purchase warrants to purchase up to 2,678,571 shares of common stock. Gross proceeds, before underwriting discounts and commissions and estimated offering expenses, are approximately $25.0 million.

The warrants are immediately exercisable at a price of $1.40 per share of common stock and expire five years from the date of issuance. The shares of common stock and the accompanying warrants were purchased together in the offering, but were issued separately.

Maxim Group LLC acted as sole book-running manager for the offering. The offering was conducted pursuant to the Company's registration statement on Form S-1 (File No. 333- 249133), as amended, and the Company’s registration statements on Form S-1 (File Nos. 333-250119 and 333-250119), previously filed with and subsequently declared effective by the Securities and Exchange Commission (“SEC”).
