Insights
The reported 23% increase in annual revenues for Golden Matrix Group Inc. is a strong indicator of the company's growth trajectory, particularly in the online gaming and eCommerce sectors. The growth is significant, especially when considering the broader economic context and potential headwinds faced by the tech and entertainment industries. A detailed examination of the financials reveals a net loss, which is not uncommon for companies investing heavily in expansion, but it is essential to assess the sustainability of this growth pattern.
The Adjusted EBITDA of $2.4 million, despite the net loss, suggests operational profitability when excluding non-cash and one-time expenses. This metric is crucial for investors as it provides a clearer picture of the company's operating performance without the distortion of non-operating factors. The company's cash position and lack of long-term liabilities are positive signs, indicating a strong balance sheet that can support continued investment in growth initiatives.
Golden Matrix's focus on both B2B and B2C segments is a strategic move that diversifies risk and taps into different revenue streams. The growth in registered user numbers for both segments is a testament to the company's effective user acquisition and retention strategies. The acquisition of the MeridianBet Group is poised to expand the company's global footprint, which could lead to increased market share and further revenue growth.
However, the increase in operational costs for Mexplay and the rise in consulting fees warrant attention to ensure that the company maintains a balance between growth and profitability. The competitive landscape of online gaming is rapidly evolving and Golden Matrix's ability to innovate and adapt will be critical to its long-term success.
The anticipation of the MeridianBet Group acquisition closing in the first quarter of 2024 highlights the importance of navigating international regulations in the online gambling market. A legal perspective is crucial here, as the company must ensure compliance with various jurisdictions, especially with ambitions to participate in the U.S. and Canadian markets. The legal complexities involved in such cross-border acquisitions and operations can have significant implications for the company's future revenue streams and market positioning.
Moreover, the use of non-GAAP financial measures like Adjusted EBITDA is common in the industry to provide a more focused view of operational performance. However, it is important for the company to maintain transparency and provide reconciliations to GAAP measures to avoid any potential misinterpretations of its financial health.

Non-GAAP Financial Measures
Adjusted EBITDA, which is disclosed above, is a “non-GAAP financial measure” presented as a supplemental measure of the Company’s performance. Adjusted EBITDA is not presented in accordance with accounting principles generally accepted in the United States, or GAAP. Adjusted EBITDA represents net income (loss) before interest, taxes, depreciation and amortization, and also excludes stock-based compensation expense. Adjusted EBITDA is presented because we believe it provides additional useful information to investors due to the various noncash items during the period. Adjusted EBITDA is not recognized in accordance with GAAP, is unaudited, and has limitations as an analytical tool, and you should not consider it in isolation, or as substitutes for analysis of the Company’s results as reported under GAAP. Some of these limitations are: Adjusted EBITDA does not reflect cash expenditures, or future requirements for capital expenditures, or contractual commitments; Adjusted EBITDA does not reflect changes in, or cash requirements for, working capital needs; Adjusted EBITDA does not reflect the significant interest expense, or the cash requirements necessary to service interest or principal payments, on debt or cash income tax payments; although depreciation and amortization are noncash charges, the assets being depreciated and amortized will often have to be replaced in the future, and Adjusted EBITDA does not reflect any cash requirements for such replacements; and other companies in this industry may calculate Adjusted EBITDA differently than the Company does, limiting its usefulness as a comparative measure. The Company’s presentation of these measures should not be construed as an inference that future results will be unaffected by unusual or nonrecurring items. For more information on these non-GAAP financial measures, please see the section titled “Reconciliation of Net Income (loss) attributable to Golden Matrix Group, Inc., to Adjusted Earnings excluding Interest Expense, Interest Income, Amortization Expense and Stock-based Compensation Expense” included at the end of this release.
