Ellington Financial Inc. (NYSE: EFC) (the "Company") announced today that it has priced an underwritten public offering of 4,000,000 shares of 8.625% Series C Fixed-Rate Reset Cumulative Redeemable Preferred Stock (the “Series C Preferred Stock”), with a liquidation preference of $25.00 per share, for gross proceeds of $100 million before deducting underwriting discounts and estimated offering expenses. The Company has granted the underwriters an option for 30 days to purchase up to an additional 600,000 shares of the Series C Preferred Stock solely to cover over-allotments. The Company intends to apply to list the Series C Preferred Stock on the New York Stock Exchange under the symbol “EFC PR C”. The offering is expected to close on or about February 6, 2022, subject to customary closing conditions. Piper Sandler & Co. is acting as the sole book-running manager for the offering.
The Company expects to use the net proceeds of the offering to acquire its targeted assets. The Company may also use the net proceeds for working capital and general corporate purposes.
The shares of Series C Preferred Stock will be offered under the Company's existing shelf registration statement on Form S-3, which became effective upon filing with the Securities and Exchange Commission on January 24, 2023.
