Ecopetrol (NYSE: EC) announced that Colombia's Tax Authority has notified its subsidiary, Refinería de Cartagena, regarding customs import declarations for gasoline. The Tax Authority claims the Refinery owes approximately COP 1.0 trillion, plus COP 2.1 trillion in estimated interests for gasoline imports between 2022-2024.

The Refinery has filed motions for reconsideration against these assessments. Since January 2025, Ecopetrol and the Refinery have been making VAT payments at 19% on gasoline and diesel imports, while maintaining their right to challenge the Tax Authority's interpretation.

Insights

Ecopetrol faces potential COP 3.1 trillion tax liability as subsidiary challenges Colombian Tax Authority's customs assessment on gasoline imports.

The notification from Colombia's Tax Authority (DIAN) to Ecopetrol's subsidiary Refinería de Cartagena represents a significant financial exposure of approximately COP 3.1 trillion (COP 1.0 trillion in principal plus COP 2.1 trillion in estimated interest). This stems from a regulatory interpretation dispute regarding customs import declarations for gasoline between 2022 and 2024.

The core issue appears to be a disagreement over how to classify or value gasoline imports for customs purposes. While specific technical details aren't provided, this type of dispute typically involves tariff classification, valuation methodology, or qualification for preferential treatment. The magnitude of the assessment suggests a fundamental disagreement about the applicable tax rate or valuation base.

Notably, Ecopetrol has begun paying VAT at the 19% rate since January 2025, essentially complying with the Tax Authority's interpretation while preserving legal rights to challenge it. This prudent approach mitigates further interest accrual while the dispute continues.

The filing of motions for reconsideration initiates the administrative appeals process, which could potentially proceed to Colombia's administrative courts if not resolved favorably. Tax disputes of this magnitude typically take several years to resolve, creating prolonged uncertainty regarding the ultimate financial impact.

For context, a liability of COP 3.1 trillion would represent a material financial obligation for any Colombian company, including one of Ecopetrol's size. The outcome could significantly impact Ecopetrol's financial statements, potentially requiring provisions that would affect reported earnings.

BOGOTA, Colombia, June 26, 2025 /PRNewswire/ -- Ecopetrol S.A. (BVC: ECOPETROL; NYSE: EC, the "Company" or "Ecopetrol" and together with its subsidiaries, the "Ecopetrol Group") informs that on May 29, 2025, the Dirección de Impuestos y Aduanas Nacionales (the "Tax Authority") notified Refinería de Cartagena S.A.S. (the "Refinery") of two resolutions mandating the Refinery to conduct correction assessments in relation to customs import declarations for gasoline. In accordance with the Tax Authority's interpretation of the law, the Refinery owed approximately COP 1.0 trillion, plus estimated interests to date of COP 2.1 trillion, for the import of gasoline between 2022 and 2024. On June 26, 2025, the Refinery filed the corresponding motions for reconsideration against the aforementioned customs correction assessments.

The official assessments notified by the Tax Authority to the Refinery reflect the continued differences in regulatory interpretation between the Tax Authority and the Ecopetrol Group—an issue that the Refinery has detailed in its motions for reconsideration.

Considering that the Tax Authority has decided to apply its regulatory interpretation, Ecopetrol and the Refinery have been making VAT payments on gasoline and diesel imports at the 19% rate since January 2025. It is important to note that these VAT payments do not affect Ecopetrol's and the Refinery's rights to challenge the Tax Authority's interpretation at the appropriate time and before the relevant authorities.

Ecopetrol and the Refinery reaffirm their commitment to fully comply with their customs and tax obligations and will respect the decisions issued in this matter by the competent authorities, as stated on May 6, 2025 in a communication published through this medium.
