$44.1 million that are exercisable for Series E-3 Preferred Stock until the earlier of September 6, 2026, or 10 days following the Company's announcement of top-line data from the WM CLOVER-WaM pivotal trial; and Tranche B warrants for an aggregate exercise price of approximately$34.3 million that are exercisable for Series E-3 Preferred Stock until the earlier of September 6, 2028, or 10 days following disclosure of the Company’s public announcement of its receipt of written approval from the FDA of its New Drug Application for iopofosine I 131.

The securities to be issued in connection with the PIPE are being offered in a private placement under Section 4(a)(2) of the Securities Act of 1933, as amended, and Regulation D promulgated thereunder and have not been registered under the Securities Act of 1933, as amended or applicable state securities laws, and may not be offered or sold in the United States except pursuant to an effective registration statement or an applicable exemption from the registration requirements. Cellectar has agreed to file a registration statement with the Securities and Exchange Commission registering the resale of the shares of common stock underlying the Series E Preferred Stock.
The U.S. Food and Drug Administration has granted Cellectar’s lead asset iopofosine, a small-molecule PDC designed to provide targeted delivery of iodine-131 (radioisotope), Fast Track Designation for Waldenstrom's macroglobulinemia patients having received two or more prior treatment regimens, as well as relapsed (or refractory) multiple myeloma and relapsed (or refractory) diffuse large B-cell lymphoma (DLBCL).
