(NYSE: CLR) ("Continental" or the "Company") announced today the pricing of its private placement of new 5.75% senior unsecured notes due 2031, which was upsized to $1.5 billion in aggregate principal amount from the originally proposed $1.0 billion offering. The notes were sold at par. The offering is expected to close on November 25, 2020, subject to customary closing conditions. The Company intends to use the net proceeds from this offering to fund the concurrent tender offers for a portion of the Company's 5.0% senior notes due 2022 and 4.5% senior notes due 2023 (the "Tender Offers"), to pay fees and expenses incurred in connection therewith, and the excess, if any, for general corporate purposes, including other repayments or refinancings of the Company's debt.
