Insights

The Chefs' Warehouse's FY2025 guidance reveals ambitious growth targets, projecting $3.94-4.04 billion in net sales with an adjusted EBITDA of $233-246 million. The gross profit projection of $951-976 million suggests a healthy margin structure around 24%.

The forecasted diluted share count of 46.3-47.0 million includes approximately 6.5 million potential shares from convertible notes due in 2028, indicating management's expectation of strong share price performance above the conversion price. This projection of dilutive impact suggests confidence in the company's growth trajectory and stock appreciation potential.

For retail investors: Think of this guidance as a restaurant's advance menu planning - CHEF is essentially telling investors they expect to serve up bigger portions (sales growth) while maintaining their profit recipe (margins). The convertible notes being counted as shares is like planning for extra dinner guests - it's a good sign they expect the party to be worth attending.

The specialty food distribution sector positioning reflected in these numbers is particularly noteworthy. At the midpoint of guidance, CHEF is targeting an EBITDA margin of approximately 6%, aligning with industry standards while maintaining scale advantages in the premium segment.

The geographical diversification across the US, Middle East and Canada provides natural hedging against regional market fluctuations. Breaking it down simply: imagine having food trucks in different neighborhoods - if one area slows down, others can pick up the slack. This multi-market presence, combined with the projected revenue growth, suggests CHEF is successfully executing its expansion strategy in the specialty food distribution space.

Non-GAAP Financial Measures

We present forecasted EBITDA and adjusted EBITDA ranges for fiscal 2025, which are not measurements determined in accordance with the U.S. Generally Accepted Accounting Principles (“GAAP”), because we believe these measures provide additional metrics to evaluate our forecasted results and which we believe, when considered with both our forecasted GAAP results and the reconciliation to forecasted net income, provide a more complete understanding of our business than could be obtained absent this disclosure. We use EBITDA and adjusted EBITDA, together with financial measures prepared in accordance with GAAP, such as revenue and cash flows from operations, to assess our historical and prospective operating performance and to enhance our understanding of our core operating performance. The use of EBITDA and adjusted EBITDA as performance measures permits a comparative assessment of our operating performance relative to our GAAP performance while isolating the effects of some items that vary from period to period without any correlation to core operating performance or that vary widely among similar companies.

Other companies may calculate these non-GAAP financial measures differently, and therefore our measures may not be comparable to similarly titled measures of other companies. These non-GAAP financial measures should only be used as supplemental measures of our operating performance.

Please see the schedule accompanying this release for a reconciliation of forecasted EBITDA and adjusted EBITDA to these measures’ most directly comparable GAAP measure.
