GUANGZHOU, China, Aug. 03, 2022 (GLOBE NEWSWIRE) -- Burning Rock Biotech Limited (NASDAQ: BNR, the “Company” or “Burning Rock”), a company focusing on the application of next generation sequencing (NGS) technology in the field of precision oncology, today announced that it will hold its annual general meeting (“AGM”) on September 8, 2022 at 10:00 a.m. (local time) at the Company’s Shanghai office at 5/F, Building 1, No. 138 Xinjunhuan Road, Minhang District, Shanghai.
The AGM will be held for the following proposals:
- To ratify the appointment of Ernst & Young Hua Ming LLP as auditor of the Company for the fiscal year ending December 31, 2022 and to authorize the directors of the Company to determine the remuneration of the auditor;
- To re-elect Feng Deng, Leo Li and Licen Lisa Xu as directors of the Company;
- To approve, confirm and ratify the adoption of the 2022 Long-term Equity Incentive Plan and the grant of options thereunder, the vesting of which is tied to the Company’s future stock performances (and options granted to Mr. Han, the Company’s founder, chairman and chief executive officer, will only start to vest after the Company’s market capitalization reaches US
$4 billion ). The 2022 Long-term Equity Incentive Plan and the grant of options thereunder are intended to replace the Company’s 2021 Long-term Equity Incentive Plan and the share incentive awards granted thereunder, which were approved by the Company’s board of directors on November 3, 2021 and shareholders on December 28, 2021; and - To authorize each of the directors of the Company to take any and all action that might be necessary to effect the foregoing resolutions as such director, in his or her absolute discretion, thinks fit.
The board of directors of the Company has fixed the close of business on August 4, 2022 (New York time) as the record date for determining the shareholders entitled to receive notice of the AGM or any adjournment or postponement thereof.
